Eden Wilds in the Rockies is owned and operated by Pincher Creek Ranches Co Ltd. (the “Owner”, “Eden Wilds”, “we”, or “us”), a corporation existing under the laws of the Province of Alberta.
We operate the website edenwildsintherockies.com which allows Guests to book Eden Wilds in the Rockies for short or medium-term stays and to book additional services to enhance their stay (e.g., grocery shopping, meal delivery, activities, extra cleaning, etc.) provided by us, either directly or through third party service providers.
These Terms and Conditions govern the Booking made by the Primary Guest or an Agent thereof via the Website on or after the effective date and shall legally bind all Guests included under the Booking.
1. DEFINITIONS
a) “Agent” refers to any third party individual or entity, such as a personal assistant, representative, or any person acting on behalf of a Primary Guest or Guest.
b) “Applicable Laws” means all applicable federal, provincial, municipal and local statutes, laws, by-laws, regulations, ordinances and orders, codes, rules, directives and decisions, all in effect from time to time, and made by Governmental Authorities having jurisdiction (in each case having the force of law) and all applicable judgments, orders and decrees of courts, commissions or bodies exercising similar functions, and the provisions and conditions of all applicable permits, licences and other governmental or regulatory authorizations, all as the same may be subsequently amended or superseded from time to time.
c) “Booking” refers to the rental of the Property by a Guest for a short or medium-term stay, either directly or through an Agent.
d) “Booking Agreement” refers to these Terms and Conditions together with the Booking Confirmation.
e) “Booking Confirmation” refers to the formal acknowledgement, typically in the form of an email or any other document, that verifies the acceptance of a Booking, including key details such as guest details, booking dates, price and payment schedule.
f) “Booking Fee” refers to the total Canadian dollar amount required to book and rent the Property.
g) “Booking Term” refers to the complete duration of a Booking, from the Check-in Date to the Check-out Date.
h) “Check-in Date” refers to the specific date and time when the Guest’s stay at the Property officially begins, marking the start of the rental period.
i) “Check-out Date” refers to the specific date and time when the Guest’s stay concludes, marking the end of the rental period and the time by which the Property must be vacated.
j) “Enhancements” refers to services provided by Eden Wilds, either directly or through third party service providers (e.g., grocery shopping, meal delivery, activities, extra cleaning, etc.) requested by the Guests to enhance their stay.
k) “Guest(s)” refers to any person who will stay at the Property and benefit from its amenities through a Booking made by a Primary Guest and who may request Enhancements in connection with the Booking via the Website, by email or by phone.
l) “Governmental Authorities” means any government, regulatory authority, government department, agency, utility, commission, board, tribunal or court having jurisdiction on behalf of any local, municipal, provincial or Federal body or other subdivision thereof or any municipality, district or other subdivision thereof.
m) “Primary Guest” refers to the person who books the Property via the Website.
n) “Property” refers to the property named Eden Wilds in the Rockies offered to rent for short or medium-term stays by the Owner as described on the Website.
o) “Total Guest Booking Amount” refers to the full sum that a Primary Guest is required to pay for a Booking, including the Booking Fee, Enhancements cost (if any), all applicable taxes and any additional fees.
p) “Website” refers to the website accessible at address https://www.edenwildsintherockies.com/.
2. BOOKING
2.1. Only persons who have the legal capacity to enter into legally binding contracts and who are at least twenty-five (25) years old may make a Booking.
2.2. Guests are responsible to ensure the suitability of the Property for their abilities and/or constraints prior to booking.
2.3. A request for a Booking can be made via the Website and may be completed after acceptance of these Terms and Conditions.
2.4. As part of a Booking, we reserve the right to undertake a Guest verification process in compliance with Applicable Laws. A valid passport and photo ID of the Guests are required at arrival at the Property. Further verification process of Guests’ details may be put in place in compliance with Applicable Laws or should we be required to undertake reporting, record keeping and identification procedures. We reserve the right to refuse a Booking or the provision of Enhancements to any Guest based on the outcome of the Guest verification process.
2.5. The Primary Guest will receive a Booking Confirmation including:
a) a Booking Confirmation number;
b) name and contact details of the Primary Guest;
c) dates of check-in and check-out, and the number of guests who will stay at the Property;
d) a form to indicate the names of all guests who will stay at the Property;
e) property address, driving directions, and on-site contact details;
f) total Guest Booking Amount, services included, and payment terms;
g) a link for each Guest to complete, sign and submit the Release of Liability, Waiver of Claims, Assumption of Risks and Indemnity Agreement online prior to the Check-In Date;
h) any specific rules or conditions applicable to the Booking;
i) details on how and when the Booking can be modified or cancelled; and
j) information and pricing for any available Enhancements (e.g., grocery shopping, meal delivery, activities, extra cleaning).
Additional confirmation documents may be provided for booking Enhancements.
2.6. A Booking is finalized and a Booking Agreement is fully enforceable upon: (i) full payment of either the first booking installment and/or the Total Guest Booking Amount set in the Booking Confirmation; and (ii) acceptance of these Terms and Conditions.
2.7. The Primary Guest making the Booking, agrees to pay all costs, fees, and charges for the Booking, as outlined in the Booking Confirmation.
2.8. When a Booking is facilitated for a Primary Guest through an Agent, all Terms and Conditions communicated to the Agent shall be deemed as provided and fully applicable and enforceable to the Primary Guest.
2.9. All Bookings are nominative and specific to the Primary Guest and thus shall not be assigned or transferred to any third party.
2.10. The Primary Guest has no right to sublet or assign any interest in the Booking Agreement or the Primary Guest’s right to occupy and use the Property.
3. WAIVER
3.1. All Guests are required to sign a Release of Liability, Waiver of Claims, Assumption of Risks and Indemnity Agreement in the form acceptable to us prior to staying and participating in any activity at Eden Wilds.
3.2. Guests under the age of nineteen (19) must have a parent or legal guardian sign the Release of Liability, Waiver of Claims, Assumption of Risks and Indemnity Agreement on their behalf.
3.3. A copy of the Release of Liability, Waiver of Claims, Assumption of Risks and Indemnity Agreement is available on the Website for Guests to read prior to Booking.
3.4. The Primary Guest will receive a Booking Confirmation including a link for each Guest to complete, sign and submit the Release of Liability, Waiver of Claims, Assumption of Risks and Indemnity Agreement online prior to the Check-in Date.
4. ENHANCEMENTS
4.1. A detailed list of Enhancements available at Eden Wilds will be provided in the Booking Confirmation and may also be provided by email. Enhancements, and any special request Guests may have, are subject to availability and cannot be guaranteed.
4.2. Enhancements, regardless of if provided by us directly or through third party service providers, are subject to specific prices separate from and not included in the Booking Fee.
4.3. The provision of Enhancements is subject to acceptance of specific terms and conditions which are provided at the time Enhancements are requested.
4.4. When Enhancements are facilitated for Guests through an Agent, all specific terms and conditions communicated to the Agent shall be deemed as provided and fully accepted by the Guests.
5. PAYMENTS
5.1. Payments of the Total Guest Booking Amount must be made to Eden Wilds in accordance with the terms outlined in the Booking Confirmation, payment terms may vary for each Booking.
5.2. Any failure to make the required payments at the times specified in the Booking Confirmation gives Eden Wilds the right to cancel or terminate the Booking, with no refund of the monies that may have already been paid in connection with such cancelled or terminated Booking.
5.3. Payments for Enhancements shall be made by Guests in accordance with the terms provided at the time Enhancements are requested.
5.4. Any unpaid ancillary costs must be settled by the Primary Guest at the end of the rental period before vacating the Property.
6. SECURITY DEPOSIT
6.1. Upon booking, the Primary Guest authorizes Eden Wilds to obtain a pre-authorization hold of the security deposit amount on the credit card used to secure the booking. Eden Wilds reserves the right to charge and apply the security deposit, as necessary, to cover any costs associated with excess cleaning, damage, repairs, or replacements beyond normal wear and tear, as well as any outstanding incidental charges incurred during the stay, as determined by Eden Wilds in its sole discretion.
6.2. The security deposit amount is C$2,000 for short-term stays (under 30 nights) and C$4,000 for medium-term stays (30 nights or more).
6.3. The security deposit amount will be released within seven (7) days following the Check-out Date, provided no deductions are required.
7. GENERAL
7.1. Arrival and Departure – Check-in time is from 15:00 and check-out time is by 10:00. Guests shall confirm their arrival and departure times at least twenty-four (24) hours in advance. Early arrivals and late departures may be requested but are not guaranteed.
7.2. Maximum Occupancy – The maximum occupancy of the Property is eight (8) people plus two (2) infants (meaning children aged three (3) or under) and cannot be exceeded. No additional guests are allowed. Tents, motor homes or other auxiliary facilities on the Property are strictly prohibited.
7.3. Visitors and Events – Guests are not allowed to have visitors during their stay. Parties and large gatherings of any kind are strictly prohibited.
7.4. Children – Children must always be under adult supervision.
7.5. Pets – Pets are not allowed.
7.6. No Smoking – Smoking of any kind is not permitted anywhere on the Property.
7.7. Hiking Equipment – Hiking equipment, including trekking poles, snow crampons and/or snowshoes and walkie-talkies, are provided for the reasonable use and enjoyment of Guests who must take good care of all available equipment. Use of the hiking equipment provided outside of the Property is not permitted.
7.8. Private Trails – The marked trail system on the Property is for non-motorised use only.
7.9. Swimming Pool – Diving into the pool and running on the pool deck and in the vicinity of the pool is not permitted. Children must always swim under adult supervision. Access to the mechanical room of the Pool Pavilion (as referred to on the Website) is not permitted, the door must be kept closed, and the pool machinery must not be touched.
7.10. Fire Bans – There is no fire pit located on the Property and campfires are strictly prohibited anywhere on the Property. Guests should keep themselves informed of any fire bans in the MD of Pincher Creek No. 9 during their stay by visiting the Pincher Creek Emergency Services website, accessible at the address https://www.pincherfire.ca/firebans, as these bans may prevent Guests from using the outdoor BBQ.
7.11. Valuables, Lost and Found – Eden Wilds is not liable for any damage caused to any Guests’ personal items, or for any Guests’ personal items left behind or lost during their stay. There is an electronic safe box in each bedroom for Guests to keep their valuables inside. Guests should contact us as soon as possible if they realize they have forgotten any item after vacating the Property. While we will make every effort to assist in locating and returning Guests’ belongings, we cannot guarantee their recovery. Any items found after the Check-out Date will be kept for a maximum of thirty (30) days before being disposed of.
7.12. No Access to Owner’s Residences – The Guest House and Pool Pavilion (as referred to on the Website) are for the exclusive use of the Guests during the Booking Term. However, Guests acknowledge that there are other residences located on the Property which belong to the Owner. The Owner may be residing in such other residences during the Booking Term. Guests shall not attempt to enter, gain access to, or interfere with any of the residences located on the Property other than the Guest House and Pool Pavilion.
7.13. Hunting – Hunting anywhere on the Property is strictly prohibited.
7.14. Additional instructions – Guests agree to comply with all General Policies and any additional instructions we may give them upon arrival and during their stay.
8. CONFIDENTIALITY
8.1. Guests, unless in very specific circumstances and subject to prior written approval of Eden Wilds, agree not to post or use any photos of the Property on any medium for commercial purposes (e.g., internet, social media, videos, films, brochures, magazines, etc.).
8.2. Guests will not publish or reveal anything which might allow a third party to identify the address of the Property or the identity of the Owner regardless if such information is already in the public domain.
9. PRICING AND FEES
9.1. Prices are exclusive of applicable tax, unless specifically stated otherwise. Applicable taxes, such as Good and Service Tax (GST) and Alberta’s Tourism Levy may also be collected by Eden Wilds.
9.2. The currency in which payments are due is quoted in Canadian Dollars (C$ or CAD). Quotes in foreign currencies such as USD, GBP, or EUR, are merely indicative and not binding.
9.3. Guests not paying with a bank account based in Canada acknowledge that the applicable exchange rate used for currency conversion shall vary in accordance with the market rates at the time of payment processing which is not under our control, and may affect the amount debited in Guests’ local currency from their credit card or bank account due to exchange rate and/or international fees charged by their banking institution.
9.4. Prices do not include gratuity. It is entirely at the discretion of the Guests to leave a gratuity for the staff at Eden Wilds.
9.5. Booking Fee – The Booking Fee is specific to each Booking and depends on various criteria such as pricing seasonality and rental duration. The final Booking Fee is the amount displayed on the Website at the time of the Booking and confirmed in the Booking Confirmation.
9.6. One-Off Cleaning Fee – A one-off cleaning fee of $600 CAD is applied when booking to cover for inspection, inventory and cleaning of the Property after departure. Upon departure, Guests shall return the Property in the same condition as received with all Guests’ belongings removed.
9.7. Additional Cleaning Fee – If additional cleaning is required for excessive mess, soiled cookware, carpet stains, bad odors due to non-compliance with the no-smoking policy, etc., an appropriate Additional Cleaning Fee will be charged at the rate of $75 CAD per hour.
9.8. Runner’s Fee – If we are required to mail back any personal belongings that the Guests may have left behind and have been recovered, a minimum of $100 CAD Runner’s Fee will be charged in addition to any shipping costs.
9.9. Key Replacement Fee – In the event Guests lose or misplace any of the Property keys that are provided upon arrival, a $100 CAD replacement fee per lost key will be charged.
10. CANCELLATION AND REFUNDS
Our cancellation policy is as follows:
10.1. Short Term Stay Cancellation Policy (under 30 nights) – For all Bookings of less than thirty (30) nights, 50% of the Booking Fee, including all applicable taxes, is due at the time of booking and is nonrefundable. The remaining 50% is due thirty (30) days prior to the Check-in Date and is nonrefundable. If the Booking is made thirty (30) days or less prior to the Check-in Date, the Booking Fee, including all applicable taxes, is due in full at the time of booking and is nonrefundable.
10.2. Medium Term Stay Cancellation Policy (30 nights or longer) – For all Bookings of thirty (30) or more consecutive nights, 50% of the Booking Fee, including all applicable taxes, is due at the time of booking and the portion applicable to the first sixty (60) nights is nonrefundable. The remaining 50% is due thirty (30) days prior to the Check-in Date and the portion applicable to the first sixty (60) nights is nonrefundable. If the Booking is made thirty (30) days or less prior to the Check-in Date, the Booking Fee, including all applicable taxes, is due in full at the time of booking and the portion applicable to the first sixty (60) nights is nonrefundable. After the Check-in Date, there is no refund of the Booking Fee and taxes.
10.3. Eden Wilds Cancellation – If due to unforeseen circumstances, the Property becomes unavailable or unsuitable for continued occupancy by Guests, Eden Wilds will refund to the Primary Guest a pro rata portion of the Booking Fee for the part of the Booking Term in which the Property was not available for use by Guests. No refund of the Booking Fee will be payable if loss of use of the Property is attributable to actions or inactions of Guests.
10.4. Enhancement Cancellation – Any cancellation, termination and refunds of Enhancements shall follow the terms and conditions set out and accepted at the time that the Enhancement was booked.
11. DAMAGES
11.1. Guests are responsible for all damages or losses caused by themselves to the Property during the Booking Term.
11.2. Any problem or damage to the Property shall be reported immediately by the Guests to Eden Wilds, in order for Eden Wilds to diligently investigate and have such damage repaired. If the problems or damages have been caused by a Guest, the Primary Guest acknowledges Eden Wilds’ right to retain all or part of the Security Deposit. In the event that the value of the problem or damage exceeds the amount of the security deposit Eden Wilds is entitled to request the Guest to cover the excess within applicable local laws and regulations.
12. PROPERTY ACCESS AND INSPECTION
Staff or personnel retained by Eden Wilds may enter the Property to perform any service in connection with the Booking, or to inspect and carry out repairs if necessary, subject to prior reasonable notice to Guests, which may be waived in case of emergency.
13. EARLY TERMINATION OF A BOOKING
13.1. Eden Wilds reserves the right to terminate a Booking under the following circumstances:
a) Non-payment: If the Primary Guest fails to make any required payments by the due dates specified in the Booking Confirmation.
b) Violation of Terms and Conditions: If Guests breach any of the terms or conditions outlined in these Terms and Conditions, or from the failure of Guests to comply with any Applicable Laws and regulations.
c) Unlawful activities: If the Property is used for illegal, immoral, or unauthorized commercial activities.
d) Nuisance or disturbance: If Guests engage in any activities that cause a nuisance, disturbance, or damage to the Property, or to occupants of any neighbouring property.
e) Damage to the Property: If significant damage occurs to the Property due to the actions or negligence of Guests.
f) Health and safety: If Guests bring any illegal, dangerous, or hazardous substances or items (e.g., weapons, explosives) onto the Property that compromise the health or safety of occupants.
g) Misrepresentation: If Guests provided false or misleading information during the booking process or verification.
h) Reputation Risk: If Guests engage in actions that could harm the goodwill, reputation, or standing of Eden Wilds.
In such cases, Eden Wilds may terminate the Booking without refund of the Total Guest Booking Amount, and the Primary Guest may be held liable for any additional costs or damages resulting from any of the circumstances listed above.
13.2. Prior to termination, Eden Wilds shall provide the Primary Guest, with a reasonable notice period, to rectify any issues that can be corrected. If the Primary Guest fails to address the breach within the specified timeframe, Eden Wilds may proceed with the termination of the Booking without refund of the Total Guest Booking Amount.
This provision does not apply to breaches that pose immediate risks to health, safety, or Property, in which case termination may occur without prior notice.
14. LIABILITY AND RELEASE
14.1. Eden Wilds shall not be liable for (i) any loss, damage, or injury to Guests arising from any services provided by a third party service provider, or (ii) any loss, damage, or injury to persons due to the actions of the Guests or any other third parties.
14.2. Eden Wilds shall not be responsible for any minor changes to the Property, its surroundings or condition, noise or inconvenience caused by nearby construction or any temporary failure or stoppage of the Property’s equipment or supply of electricity, gas, water, plumbing or any other service.
14.3. Eden Wilds shall be held harmless from all expenses, costs, damages, claims, actions and other liabilities of any kind whatsoever arising from the Booking Agreement or the occupancy or use of the Property by Guests including without limitation any damage to the Property, or any damage, injury, costs or expenses suffered or incurred by Guests, and Guests hereby irrevocably releases Eden Wilds from all claims in respect thereof.
14.4. Guests acknowledge that use and occupancy of the Property is entirely at Guests’ own risk. There are natural features and hazards on the Property which have the potential to cause harm to Guests and render the Property unsuitable for certain activities. Eden Wilds shall not be liable for any injury, accident, death, property loss or damage, loss of physical or mental enjoyment, expense, cost or inconvenience directly or indirectly caused to or suffered by Guest by or arising out of the Booking Agreement or the use, occupation or condition of the Property.
14.5. Notwithstanding anything else herein, if Guests have any claim against Eden Wilds, the maximum liability in all circumstances of Eden Wilds will be the amount that has been paid to Eden Wilds in connection with the Booking made by the Primary Guest.
15. FORCE MAJEURE
Eden Wilds shall not be liable for any default or delay in the performance of its responsibilities under a Booking Agreement, if and to the extent such default or delay is caused directly or indirectly, by fire, flood, earthquake, drought, ocean phenomena, elements of nature or acts of God, riots, strikes, civil disorders, quarantine restrictions, epidemics, pandemics, or any other cause beyond the reasonable control of Eden Wilds.
16. GUEST LIABILITY AND INDEMNIFICATION
16.1. The Primary Guest shall be responsible for any loss arising from any breach by Guests of the representations, warranties or covenants in the Booking Agreement or from the failure of the Guests to comply with any Applicable Laws and regulations.
16.2. The Primary Guest shall indemnify and hold harmless Eden Wilds, from any loss, damage, costs, charges and expenses including reasonable legal fees resulting from any claim against Eden Wilds arising from a breach by Guests of the representations, warranties or covenants in the Booking Agreement or of any Applicable Laws and regulations.
17. WILDLIFE RISK
Guests acknowledge that the Property is located in the Rocky Mountains and wildlife may be present on the Property and in the surrounding area. Such wildlife may include but is not limited to bears, cougars, deer, moose and elk among other types of wildlife. Guests acknowledge that such wildlife which may be present on the Property or surrounding area may be hazardous or cause injury, harm or death to Guests, children, and infants. Guests further acknowledge that use and occupancy of the Property is entirely at Guests’ own risk.
18. PRIMARY GUEST RESPONSIBILITY
While there may be numerous guests staying at the Property, only the guest making the Booking is required to accept these Terms and Conditions. Eden Wilds shall hold the Primary Guest responsible for payments, damages and all other responsibilities enumerated in these Terms and Conditions.
19. AMENDMENT
Booking Terms and Conditions may be changed at any time and shall be communicated electronically.
20. GOVERNING LAW
The Booking Agreement shall be governed by and construed, interpreted and enforced in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein.
21. ARBITRATION
Any controversy or dispute arising out of or relating to a Booking Agreement, including its negotiation, validity, existence, breach, termination, construction or application, or the rights, duties or obligations of any party, shall be referred to and determined by arbitration before a single arbitrator in accordance with the Arbitration Act (Alberta).
